PUBLIC OFFER (SALES AND SERVICE AGREEMENT)

This document is an official offer (public offer) of Sole Proprietor Kovshyk Valerii Hennadiiovych (hereinafter referred to as the Merchant/Seller) to any individual or legal entity (hereinafter referred to as the Customer/Buyer) for the purchase of goods and receipt of services on the website hotspace.com.ua.

1. SUBJECT OF THE AGREEMENT

1.1. The Seller sells finished souvenir products and provides services for 3D modeling, manufacturing of tooling (molds), and metal casting based on individual custom orders.

1.2. The business activities are regulated by NACE (КВЕД) codes: 24.54 (Casting of other non-ferrous metals), 25.61 (Treatment and coating of metals), 62.01 (Computer programming), and others.

2. PLACING AN ORDER

2.1. Finished Products: Orders are placed through the website’s shopping cart with 100% prepayment.

2.2. Custom Orders: The process includes 3D model development, tooling/mold creation, and casting. Terms, conditions, and technical specifications are agreed upon via email or messenger.

3. PRICE AND PAYMENT

3.1. The price of a custom order may include:

  • The cost of 3D model development (service).

  • The cost of manufacturing tooling/molds (technical preparation).

  • The cost of the physical product in metal.

3.2. 50/50 Terms: For custom manufacturing orders, the Customer pays 50% of the total cost as a deposit to initiate the work. The remaining 50% shall be paid by the Customer after receiving photo/video confirmation of the product’s readiness, but prior to its physical shipment.

3.3. Payment is made in cashless form via electronic payment systems (merchant acquiring) or to the bank account details (IBAN).

4. TERMS AND DELIVERY

4.1. The production time for an individual custom order may take up to 90 (ninety) days from the date of receipt of the first part of the payment (deposit).

4.2. Delivery is carried out by international postal and courier services. The Buyer is solely responsible for paying any customs duties, clearance fees, and taxes applicable in the country of destination.

4.3. Tooling and molds manufactured during the execution of the order remain the sole property of the Merchant unless otherwise agreed upon in writing.

5. RETURNS AND WARRANTIES

5.1. Finished Products: May be returned within 14 days from the date of receipt, provided that the product retains its original merchantable condition, packaging, and properties. The Buyer shall bear all costs associated with return shipping.

5.2. Custom-Made Products: In accordance with the current legislation of Ukraine, goods manufactured to individual custom specifications and orders are non-refundable and cannot be exchanged.

5.3. The payment of the remaining 50% of the amount constitutes final confirmation and acceptance by the Customer that they are fully satisfied with the quality and appearance of the product based on the provided photo/video materials.

6. LIABILITY OF THE PARTIES

6.1. The Seller is not liable for minor variations in patina shades or metal texture, which are natural results of manual craftsmanship and the specifics of bronze casting.

6.2. All disputes shall be resolved through negotiations or in accordance with the legislation of Ukraine.
